Hawaii's Largest Windfarm Developer Investigated for Self-Dealing

Berman DeValerio Investigates Possible Breaches of Fiduciary Duty at TerraForm Power Inc.

BOSTON--The law firm of Berman DeValerio is investigating possible breaches of fiduciary duties related to certain transactions involving TerraForm Power, Inc. ([NASDAQ:TERP]) (“TerraForm”or the “Company”) and its controlling shareholder, SunEdison, Inc.

In particular, Berman DeValerio (www.bermandevalerio.com) is investigating whether TerraForm’s Board of Directors met its fiduciary duties to ensure that these transactions were fair and in the best interests of TerraForm. In addition, Berman DeValerio is investigating whether SunEdison (Hawaii's largest windfarm developer) abused its position as the controlling shareholder of TerraForm in order to advance its own interests at the expense of TerraForm and its minority shareholders. Since the beginning of 2015, SunEdison has made at least two joint acquisitions with TerraForm in which the Company and its minority shareholders may have unfairly subsidized the acquisition of valuable assets on behalf of SunEdison.
